Performance Based on a Foundation of Integrity.

UnitedHealth Group is committed to meeting the highest standards of ethical behavior and appropriate business conduct in everything we do, every day.

Governance Principles

Sound corporate governance principles are critical to helping ensure we perform with integrity and excellence in all aspects of our operations. They are vital to retaining the trust and respect of investors and other stakeholders and interested parties, including the individuals we serve, employers, physicians and other health care professionals, suppliers, governments, employees and the general public.

*On May 24, 2011, the UnitedHealth Group board of directors adopted the UnitedHealth Group Code of Conduct: Our Principles of Ethics & Integrity ("Code of Conduct") that incorporates into one document the company's Code of Business Conduct and Ethics and the company's Principles of Ethics & Integrity.

The Code of Conduct does not materially change the provisions of the Code of Business Conduct and Ethics that related to the elements of the code of ethics definition enumerated in Item 406(b) of Regulation S-K.
