* On May 24, 2011, the UnitedHealth Group Board of Directors adopted the UnitedHealth Group Code of Conduct: Our Principles of Ethics & Integrity ("Code of Conduct"), which incorporates into one document the Company's Code of Business Conduct and Ethics and the Company's Principles of Ethics & Integrity. The Code of Conduct does not materially change the provisions of the Code of Business Conduct and Ethics that related to the elements of the code of ethics definition enumerated in Item 406(b) of Regulation S-K.
